1. Acceptance of Terms

By downloading, installing, or using MLX Studio ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

MLX Studio is a native macOS/iOS application that enables you to run AI language models locally on your Apple Silicon device. The App provides:

• On-device AI chat functionality
• Local model download and management
• Optional premium features (web search, additional models)
• Document and image processing capabilities

3. System Requirements

To use MLX Studio, your device must meet the following requirements:

• macOS 14 (Sonoma) or later, or iOS 17 or later
• Apple Silicon processor (M1, M2, M3, M4, or newer)
• Minimum 8GB RAM (16GB+ recommended for larger models)
• Sufficient storage space for AI models (2-10GB per model)

4. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial purposes.

5. Restrictions

You agree not to:

• Copy, modify, or distribute the App
• Reverse engineer, decompile, or disassemble the App
• Use the App for any illegal or unauthorized purpose
• Remove any copyright or proprietary notices from the App
• Use the App to generate harmful, illegal, or misleading content
• Attempt to circumvent any access restrictions or security measures

6. AI-Generated Content

You acknowledge and agree that:

• AI models may produce inaccurate, incomplete, or biased outputs
• You are solely responsible for reviewing and verifying AI-generated content before use
• AI outputs should not be relied upon for medical, legal, financial, or safety-critical decisions
• We make no warranties about the accuracy or reliability of AI-generated content

7. Third-Party AI Models

The App enables you to download AI models from third-party sources (primarily Hugging Face). These models are subject to their own licenses and terms. You are responsible for complying with the applicable licenses for any models you download and use.

8. Premium Features

Some features may require a premium subscription or one-time purchase. Premium purchases are processed through the Apple App Store and are subject to Apple's terms and conditions. Refunds are handled according to Apple's refund policy.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we handle your information. In summary: all AI processing happens locally on your device, and we don't collect or store your conversations.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

12. Indemnification

You agree to indemnify and hold harmless MLX Studio, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the App or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms in the App or on our website. Your continued use of the App after such changes constitutes acceptance of the new Terms.

14. Termination

We may terminate or suspend your access to the App at any time, without prior notice, for any reason, including if you breach these Terms. Upon termination, your license to use the App will immediately cease.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
